1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you and Team Gabriel Fitness LLC, a Florida limited liability company ("Vested," "we," "us," or "our"), and govern your access to and use of the Vested mobile app, our website at vested.fitness, the Vested membership, and the related community and services (together, the "Service").
By creating an account, purchasing a membership, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
Vested is a monthly fitness membership delivered through the Vested mobile app, which is white-labeled on the EverFit platform. The Service includes training programs, nutrition guidance, daily messages, progress tracking, and a members' community. The content is for general fitness and educational purposes and is not medical advice (see Section 11). We may add, change, or discontinue features at any time.
3. Eligibility and your account
You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Service. By using the Service you represent that you meet this requirement and that the information you provide is accurate.
You are responsible for your account and for keeping your password secure. You agree to notify us at support@vested.fitness of any unauthorized use. You may not share your account or transfer it to anyone else. We may suspend or close accounts that violate these Terms.
4. Membership, billing, and automatic renewal
Subscription. A Vested membership is a paid, recurring subscription. The price, billing frequency, and any introductory or founding rate are shown to you clearly at checkout before you are charged. Current standard pricing is $35 per month; a founding rate of $27 per month may be offered for a limited time and, where offered, is locked at that rate for as long as your membership remains continuously active. We may also offer annual plans, which are billed once per year.
Automatic renewal (please read). Your membership automatically renews at the end of each billing period (each month, or each year for annual plans) at the then-current price shown at checkout, and your payment method is automatically charged, until you cancel. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis. Your renewal will continue automatically unless you cancel before the start of the next billing period.
Payment. Payments are processed by our third-party payment processor, Stripe, through a secure checkout. You agree to provide a valid payment method and authorize recurring charges. If a charge fails, we may retry it or suspend your access until payment is resolved.
Renewal reminders. Where required by law (for example, for California residents), we will provide periodic reminders that your subscription will continue to renew and how to cancel.
5. Cancellation
You can cancel your membership at any time through your account or billing settings, through the cancellation link included in your billing emails, or by emailing support@vested.fitness with "cancel my membership" in the subject line. Cancellation stops future renewals. When you cancel, your access continues until the end of your current billing period, and you are not charged again after that. We make cancellation available online without requiring you to call or take any unnecessary step.
6. No-refund policy
Except where required by law, all payments are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or memberships you forget to cancel. Vested is a commitment, not a trial. If you experience a genuine technical problem with app access or a billing error within the first 48 hours of a charge, contact support@vested.fitness and we will work in good faith to resolve it. Because our charges are for digital services that are made available to you immediately, initiating a chargeback or payment dispute for a validly billed charge, instead of contacting us first to resolve it, may result in suspension of your account. Nothing in this section limits any non-waivable rights you may have under the consumer-protection laws of your jurisdiction.
7. Price changes
We may change our prices. If we change the recurring price that applies to your membership, we will give you advance notice and the opportunity to cancel before the new price takes effect, as required by law. If you do not cancel, the new price applies to your next renewal. A locked founding rate will not be increased for as long as your membership remains continuously active.
8. License to use the app
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download and use the Vested app and access the Service for your own personal, non-commercial use while your membership is active. You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of the app, or use it to build a competing product, except where such restriction is prohibited by law.
9. Our intellectual property
The Service and all of its content, including training programs, nutrition materials, daily messages, videos, text, graphics, logos, and the "Vested" and "Coach Gabriel" names and marks, are owned by Team Gabriel Fitness LLC or its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. You may not use our names, logos, or content without our prior written permission.
Feedback. If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without restriction, compensation, or obligation to you.
10. Your content and the community
The Service includes a members' community. You are responsible for the content you post, including messages, photos, and comments ("User Content"). You retain ownership of your User Content, and you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and use it as needed to operate and promote the Service. You represent that you have the rights to the content you post and that it does not violate these Terms or any law.
Community standards. The Vested community runs on respect and accountability. You agree not to post content that is harassing, hateful, threatening, sexually explicit, fraudulent, or that harasses or endangers other members. We may remove content and, consistent with our community policy, may permanently remove any member for a serious or repeated violation. We are not obligated to monitor User Content but may do so.
Copyright complaints (DMCA). If you believe content on the Service infringes your copyright, send a notice to support@vested.fitness with "DMCA" in the subject line, including: your contact information, a description of the work and the allegedly infringing content and where it appears, a statement that you have a good-faith belief the use is not authorized, a statement under penalty of perjury that your notice is accurate and you are authorized to act, and your physical or electronic signature. We will respond to valid notices as required by the Digital Millennium Copyright Act and may remove the content and, for repeat infringers, terminate accounts.
11. Health, fitness, and safety; assumption of risk
Vested is not a medical service and does not provide medical advice. The training, nutrition, and other content are for general fitness and educational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment.
Consult a professional first. You should consult a qualified physician or healthcare provider before beginning any exercise or nutrition program, especially if you have a medical condition, are pregnant, are taking medication, or have any concern about your ability to exercise safely.
Assumption of risk. Physical exercise carries inherent risks, including the risk of injury. By using the Service, you voluntarily accept and assume those risks. You are responsible for exercising within your own limits, using proper form and equipment, and stopping and seeking medical attention if you experience pain, dizziness, or discomfort. To the fullest extent permitted by law, you agree that Vested is not liable for any injury, illness, or harm resulting from your participation in any activity suggested by the Service.
This section is in addition to any separate liability waiver, medical disclaimer, or medical-clearance acknowledgment we may ask you to accept.
12. Acceptable use
You agree not to: use the Service for any unlawful purpose; interfere with or disrupt the Service or its security; access the Service through automated means without our permission; attempt to gain unauthorized access to any account or system; upload malware; or infringe the rights of others. We may suspend or terminate access for violations.
13. Third-party services
The Service relies on third-party providers, including EverFit (app platform), Stripe (payments), and the Apple App Store and Google Play (distribution). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services, and your dealings with them are between you and the third party.
14. App Store terms (Apple and Google)
These Terms are between you and Team Gabriel Fitness LLC only, and not with Apple Inc. or Google LLC. The following apply to your use of the app obtained through the Apple App Store ("App Store Sourced Application"):
- You and we acknowledge that Apple has no obligation to provide maintenance and support for the app.
- To the maximum extent permitted by law, Apple has no warranty obligation with respect to the app, and any claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are our responsibility, not Apple's.
- We, not Apple, are responsible for addressing any claims by you or a third party relating to the app or your possession and use of it, including product-liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims arising under consumer-protection or privacy law.
- We, not Apple, are responsible for the investigation, defense, settlement, and discharge of any third-party claim that the app or your use of it infringes intellectual property rights.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist-supporting," and that you are not on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
- You must comply with applicable third-party agreements (for example, your wireless data plan) when using the app.
For apps obtained through Google Play, you agree to comply with the Google Play Terms of Service, and to the extent those terms conflict with these Terms regarding your use of the app via Google Play, the applicable Google terms govern that relationship.
15. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will produce any particular fitness result. Results depend on many factors within your control. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
16. Limitation of liability
To the fullest extent permitted by law, Vested and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
17. Indemnification
You agree to indemnify and hold harmless Team Gabriel Fitness LLC and its owners, employees, and contractors from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content, or your violation of these Terms or any law or the rights of any third party.
18. Governing law and dispute resolution
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.
Informal resolution first. Before filing any claim, you agree to contact us at support@vested.fitness and try in good faith to resolve the dispute informally for at least 30 days.
Arbitration and class-action waiver. Except for claims that may be brought in small-claims court, and except where prohibited by law, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. You and we waive the right to a jury trial and agree that claims may be brought only in an individual capacity and not as part of a class or representative action. If this class-action waiver is found unenforceable, the remainder of this arbitration section will not apply to that claim. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@vested.fitness with "arbitration opt-out" in the subject line; opting out will not affect any other part of these Terms. Where arbitration is not permitted for your claim or jurisdiction, the state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction, and you consent to venue there.
Nothing in this section prevents you from exercising non-waivable rights under the law of your country of residence.
19. Termination
You may stop using the Service and cancel your membership at any time (see Section 5). We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends, but sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will continue to apply.
20. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, give notice in the app or by email before the changes take effect. Your continued use of the Service after the changes take effect means you accept the revised Terms.
21. Miscellaneous
These Terms, together with the Privacy Policy and any policies referenced here, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, financing, or sale of our business. We are not liable for delays or failures caused by events beyond our reasonable control.
Electronic communications. You consent to receive communications from us electronically, including these Terms, notices, agreements, billing and renewal reminders, and disclosures. You agree that all electronic communications satisfy any legal requirement that such communications be in writing.
